TERMS AND CONDITIONS OF SALE

ATOM Event & Conseil SA (hereinafter referred to as “AEC”)


1. PURPOSE AND SCOPE

The booking and operation of AEC SA cruises, as well as any associated services, are governed by these Terms and Conditions of Sale, which prevail over any other AEC SA document (including brochures, advertisements, and/or client documents), as well as any general purchasing conditions of the client, which shall not be enforceable against AEC SA.

Any booking or purchase of a service implies full and unconditional acceptance of these Terms and Conditions by the client.


2. BOOKING AND PAYMENT

AEC SA offers private cruises and/or events on all or part of the vessels and venues available.

2.1 Booking confirmation

Booking is mandatory for all private cruises/events and must be initiated by a quotation request from the Client.
A booking becomes final only upon receipt by AEC SA of:

  • the signed quotation, and
  • a first deposit of 50% of the total amount (incl. VAT), or 75% if the event takes place within 30 days,
  • and, where applicable, a security deposit (amount agreed in the quotation).

2.2 Second payment

No later than 8 days before the event, the Client must pay:

  • the remaining 50% (or 25% for short notice bookings).

Failing this, AEC SA will consider the booking cancelled by the Client and apply Article 4.1.1.


2.3 Final number of guests

No later than 5 days before the event, the Client must confirm in writing the exact number of guests.
If not provided, or if fewer guests attend than initially declared, the Client will be charged based on the original number.


2.4 External providers

If the Client uses external providers:

  • all necessary documents (including insurance certificates) must be provided at least 3 days before the event.
    Failure to do so will result in cancellation under Article 4.1.1.

2.5 Additional costs

At the end of the event, a document listing any additional charges (including damages or catering not handled by AEC SA) will be jointly established.
The balance must be paid upon receipt of the invoice.


3. PRICES – INVOICING – PAYMENT

3.1 Prices

Prices are expressed in euros, all taxes included, based on rates valid at the time of booking.
They may be adjusted in case of changes in taxes or charges.


3.2 Payment methods

Unless otherwise agreed, payments must be made by bank transfer or cheque upon receipt of invoice.


3.3 Late payment

Late payments will automatically incur penalty interest in accordance with applicable regulations.


4. CANCELLATION

4.1 Cancellation by the Client

  • Up to 30 days before: 50% charged
  • From 29 to 9 days before: 80% charged
  • From 8 days before: 100% charged

4.2 Cancellation by AEC SA

If AEC SA cancels the event (including cases listed in Articles 5 and 6), the Client will:

  • be offered an equivalent service where possible, or
  • receive a refund (excluding any damages or compensation).

5. CLAIMS

Any claims must be sent by registered letter within 15 days after the event to:

Claims will only be accepted if issues were reported on-site to allow resolution.


6. CRUISE OPERATIONS

6.1 AEC SA obligations

AEC SA undertakes to use all appropriate means to ensure the proper execution of services and confirms it holds the required insurance.

AEC SA reserves the right to modify or cancel cruises without notice in cases such as:

  • force majeure
  • terrorism
  • flooding or river conditions
  • bad weather
  • administrative decisions
  • technical issues
  • any event affecting safety

6.2 Client obligations

The Client must:

  • ensure compliance of any external services with applicable laws
  • obtain necessary authorizations
  • provide required documents
  • pay a €500 fee (incl. VAT) for use of kitchen/equipment if using external catering

6.2.2 Delays

In case of delay:

  • cruise duration may be reduced accordingly
  • or extra hours charged (“any hour started is due”)

6.2.3 Passenger behavior

AEC SA may refuse boarding to any person whose behavior may disrupt the event (e.g., intoxication).
No dangerous items or animals are allowed onboard.


6.2.4 Safety rules

Passengers must follow all safety instructions and are responsible for:

  • their own safety
  • their belongings

Restricted areas are strictly forbidden.


6.2.5 Overtime

Additional time is charged from €555/hour (incl. VAT) depending on the vessel.
Any time exceeding 15 minutes will be billed.


7. LIABILITY

AEC SA cannot be held liable for:

  • navigation constraints
  • force majeure events
  • weather conditions
  • technical failures
  • third-party failures

AEC SA is not responsible for:

  • theft or damage to personal belongings
  • damages caused by the Client or their guests

8. APPLICABLE LAW AND JURISDICTION

These Terms are governed by French law.

In case of dispute:

  • French courts shall have exclusive jurisdiction
  • disputes involving registered companies will be handled by the Nanterre Commercial Cour
